B. Prohibited Data: You agree not to provide sensitive personal or third-party confidential information unless you have all required consents. We disclaim liability for such data.

We care about your privacy. Our practices are outlined in our Privacy Policy. We do not use Customer Data to train AI models or share with third-party AI providers unless stated otherwise.

8. Ordering and Subscriptions

A. Orders: Services may be licensed through a Subscription. An Order is binding once payment is completed.

B. Delivery: Products and updates are delivered electronically.

C. Renewals: Subscriptions auto-renew unless canceled before the renewal date.

D. Usage Limits: You agree not to exceed usage limits defined in your plan.

Either party may terminate the agreement for cause with 30 days' notice. We may also suspend or terminate access if your use violates laws or these Terms.

All payments are due upon receipt unless otherwise stated. Failure to pay may result in suspension. Prices exclude taxes unless stated.

A. We manage and control the hosting environment for our Cloud Services.

B. You remain responsible for your data and authorized user activity.

C. You grant us a limited license to process Customer Data to deliver the Services.

12. Warranty and Disclaimers

We warrant that our Products will substantially conform to specifications for 30 days. We disclaim all other warranties, including fitness for a particular purpose. The Services are provided "as is."

13. Limitation of Liability

Soloagents shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid in the six months preceding the claim.

14. Indemnity

You agree to indemnify and hold harmless Soloagents from any claims arising out of your use of the Services, Customer Data, or breach of these Terms.

15. Export Compliance

You agree to comply with all U.S. export control laws when using the Services.

16. Governing Law

These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved in the courts of Delaware.
